Advised a state-owned electricity utility on the legal assessment of the mobilisation and payment for electricityin respect of power plants subject to administrative penalties for breaches of regulations on construction acceptance;

Advised a state-owned electricity utility on the legal basis for the mobilisation and payment for electricity both prior to and following the effective date of Decree No. 17/2022/ND-CP, inrelation to power plants that had not yet obtained written approval of acceptance inspection results from the competent state authority;

Assessed the legal basis for the provisional and final settlement of electricity payments topower plants mobilised by a state-owned electricity utility to generate electricity to the national grid during the period prior tothe issuance of their Electricity Operation Licences;

Advised and represented a state-owned electricity utility (as Employer) in resolving a dispute with a consortium comprising adomestic industrial group, a logistics company, and an import-export company concerning the contract for the supply of imported coal for the commissioning and acceptance of a thermal power plant project, before the Vietnam International Arbitration Centre (VIAC);

Advised and acted in the arbitration proceedings on behalf of a national oil and gas group in adispute arising out of, and in connection with, a contract for the sale and purchase of induction bends signed between the client and a foreign contractor (“the Dispute”), administered by the Vietnam International Arbitration Centre (VIAC);

Advised the resolution of a dispute concerning a share transfer agreement related to three wind power projects in Dak Nong Province, acting as legal counsel for the Respondent in proceedings before the Singapore International Arbitration Centre (SIAC);

Provided legal services involving analysis of the current legal framework, assessment of barriers to private sector participation, proposals for regulatory reform, and capacity-building support for relevant authorities to strengthen the role of the private sector in the provision of services and investment in solid waste infrastructure. The work formed part of a World Bank-funded project supporting the Ministry of Planning and Investment in developing standard PPP contract templates in solid waste management sector;

Provided legal advice, policy research, stakeholder consultations (domestic and international), and regulatory proposals to ensure a legal framework aligned with international best practices while meeting Vietnam’s sustainable development goals, within the framework of a World Bank-supported project to develop a national PPP roadmap;

Conducted a comprehensive review of the PPP legal framework, gap analysis against international standards, consultations with state authorities, and provided key reform recommendations. Also participated in risk management strategy development and legal capacity-building activities for relevant stakeholders under a World Bank-funded project supporting the Ministry of Planning and Investment in formulating a national PPP development strategy and roadmap;

Assessed legal risks associated with private sector participation in PPP contracts; drafted standard form contracts (BL, BTL, BOT, BTO, BOO, O&M); developed support mechanisms for enterprises; and participated in training sessions and workshops with the Ministry of Natural Resources and Environment (MoNRE) and relevant agencies under a project promoting PPP models in the solid waste sector (in co-consultancy with a Big Four accounting and advisory firm);

Provided legal advisory services to a multilateral development bank in the development and implementation of PPP models under the O&M modality to support the delivery of major infrastructure projects in Vietnam (airports, hospitals, water treatment plants);

Advised a national oil and gas group on the negotiation of an offtake agreement with Nghi Son Refinery and Petrochemical LLC (NSRP);

Advised a Chinese state-owned commercial bank (HCMC Branch) on a USD 73 million syndicated loan for the development of a USD 150 million fiber textile complex in Tay Ninh (Vietnam);

Advised a power generation subsidiary of the national oil and gas group in EPC contract forcombined cycle LNG power project Nhon Trach 3 & 4 for total capacity of 1.5 GW;

Advised a national gas corporation on the termsheet and JVA with a U.S.-based global energy corporation to develop the Son My LNG terminal project;

Represented owners of the largest polyester manufacturing plant in Vietnam in an ICC arbitrationin Singapore against the contractor;

Advised the national flag carrier on the restructuring of its low-cost airline subsidiary;

Advised a global biopharmaceutical company on the importation of 30 million doses of Covid-19 vaccines into Vietnam;

Assisted a UK-based upstream oil and gas company in obtaining Vietnam merger clearance for its reverse takeover of another UK leading oil company with gas and oil interests in the UK, Asia, Africa and Mexico;

Advised two major Japanese banks on the sponsor guarantee for 80 million USD bridge loan to a Malaysia-Vietnam offshore joint venture company for the development of offshore FPSO;

Advised a leading Vietnamese commercial bank on an inter-creditor agreement with a Swiss investment bank (Singapore branch) for a USD 250 million loan to finance real estate projects within the territory of Vietnam;

Represented a multinational beverage company in a commercial litigation over the claim that there was a strange object found inside the client’s products;

Represented a multinational peer-to-peer ridesharing and ride service hailing app provider, in a tax dispute against the Ho Chi Minh City tax authority;

Supported a major state-owned brewery to listing on stock market. The listing values the brewery at VND 2.3 Trillion (USD 104 Million) based on market capitalization;

Advised the oil trading arm of the national oil and gas group on the equitisation of, and sale to a strategic investor of the parent group’s shares in the company;

Advised on legal matters relating to a mobile payment platform developed by a South Korean conglomerate and worked with the State Bank of Vietnam on the relevant licensing matters.
