[Seminar] Integrating Legal and Financial Perspectives: Business Valuation in M&A and Economic Damages in Disputes

On 21 November 2025, LNT & Partners, in collaboration with VCCI-HCM and MDD Forensic Accountants, successfully organised the seminar “Integrating Legal and Financial Perspectives: Business Valuation in M&A and Economic Damages in Disputes” at VCCI-HCM Building. Participants from corporations and law firms joined the discussion, turning the auditorium into a space where legal and financial thinking were tested against real dispute scenarios.

Acting as moderator, Mrs. Quyen Hoang (Managing Partner of LNT & Partners; Deputy Director of VMC; CEDR Accredited Mediator) opened the programme not with abstract concepts but with practical stories: clear contracts that led to very different interpretations of the numbers; damage models that appeared sound yet were rejected because of one critical assumption. These examples naturally led to the core purpose of the seminar – creating a platform where lawyers and financial experts can better align their perspectives before entering litigation or arbitration.

Following this introduction, MDD Forensic Accountants’ representative – Mr. Ben Lovell (Business Development Director of MDD Forensic Accountants) gave a brief overview of the firm and its experience in quantifying economic damages and providing expert testimony. Mr. Phu Nguyen (Partner and Head of Litigation of LNT & Partners) then delivered a session on the role of valuation experts in dispute resolution, outlining how courts and tribunals assess expert opinions and what makes a valuation report credible and persuasive.

In the subsequent sessions, MDD expert – Mrs. Nattakarn (Nay) Prasitsumrit (Senior Manager of MDD Forensic Accountants) covered the substantive valuation topics, including practical frameworks for business valuations, models for calculating lost sales and lost gross profit, and methods for assessing data reliability, business assumptions and common pitfalls when presenting financial numbers in contentious matters. Building on these insights, Mr. Phu Nguyen returned to close the technical component by broadening the discussion beyond lost profits, highlighting additional forms of loss that may be relevant when shaping a party’s dispute strategy.

The seminar concluded with an interactive Q&A session, where attendees raised questions on choosing appropriate valuation methods, structuring collaboration between lawyers and experts, and effectively presenting expert reports and testimony before adjudicatory bodies. With open exchanges and bilingual presentations, the seminar offered participants a grounded and practical view of how to “turn numbers into arguments” in real-world dispute resolution.
