This legal update provides an in-depth analysis of the Draft Law on E-Commerce recently released by the Ministry of Industry and Trade.

Expected to be submitted to the National Assembly in October 2025,the Draft Law marks a significant shift in Vietnam’s approach to regulating digital commerce. Once enacted, it will replace Decree 52/2013/ND-CP and Decree85/2021/ND-CP, establishing the country’s first comprehensive legal frame work for e-commerce.

The Draft Law introduces several key developments, including:

  • Expanded scope to cover emerging e-commerce models such as super-apps and cross-border platforms;
  • Stricter responsibilities for domestic and foreign operators, including mandatory seller verification and transparency requirements;
  • Licensing requirements for electronic contract authentication services;
  • Mandatory legal presence for foreign e-commerce traders targeting the Vietnamese market;
  • Establishment of a centralized e-commerce management platform to enhance regulatory oversight and public transparency.

This proposed legislation represents an important step in aligning Vietnam’s legal landscape with global digital commerce standards and fostering a transparent, innovation-driven ecosystem.
